  1. JOB PURPOSE:

Responsible for all the Company Affairs / Secretarial functions of NSL Sugars and its subsidiaries

1.KEY ACCOUNTABILITIES

  • Drafting of Notice and Agenda, Conducting and Drafting Minutes of Board Meetings
  • Conducting and Drafting Minutes of Shareholder Meetings
  • Drafting notices of General Meetings
  • Updating and Maintenance of Statutory Registers and Records.
  • Annual ROC Compliances (filing of Annual E-forms like AOC-4, MGT-7, CRA, MSME,
  • Lesioning with Registrar of Companies and Coordination with Depository Participants and Registrar & Share Transfer Agents
  • Fling of E-forms with respect to appointment and resignation of Directors, Statutory Auditors, Cost Auditors and Secretarial Auditors
  • Charge Management-Filing of Forms for creations, modifications and satisfaction
  • Incorporation of Companies. Winding up, Striking off and closure of companies. Alterations, modifications and amendment of Memorandum and Articles of Association
  • Filing of e-forms pertaining to allotment of Shares, debentures and other securities
  • Preparation of Share Certificates. Documentation pertaining to transfer and transmission of Securities
  • Constitution of Committees as per the Companies Act, 2013
  • Report to the Board about compliance with the provisions of Companies Act, 2013
  • Preparation of documents for various corporate actions including secured borrowings, acquisition, creation of security etc.
  • Signing of Financials of the Company
  • Compliance with Secretarial Standards in connection with the Board Meetings, General Meetings, Dividends and Boards Report
  • Preparation of Documents for Merger, Amalgamation and Reconstruction of the Companies
  • Coordinating and arrangement of Documents for Secretarial Audit
  • Filing of Foreign Assets and Liabilities Return (FLA Return), Filing of Annual Performance Report, Filing of FC-GPR with RBI in accordance with FEMA Regulations, Filing of FC-TRS with RBI in accordance with FEMA Regulations, Filing of Compounding Applications with RBI in case of delay in submission of APR and FLA Returns
  • Coordinating with Depository Participants for D-mat Accounts of Promoters and the Company
  • Coordination with NSDL and CDSL in connection with the issue / allotment of securities of the Company
  • Preparation and submission of Master Creation Form and Corporate Action Forms with NSDL and CDSL.

  • Interact with CEO & CFO for various work
  • Other Department HODS and Unit Heads for obtaining inputs for various meetings

Ø Maintaining all the Original agreements & Documents of the company.

Ø Preparation of notes to management on Companies Act and other legal compliances

Ø Ensure all the compliances are in places

Ø Preparation of notes for Management approval

1.SKILLS AND KNOWLEDGE

Educational Qualifications: CS – Company Secretary

Experience: 0-4 yrs. of post qualification Experience

Age Band: Below 38 yrs.

Required Functional Competencies:

Ø Working knowledge of the Companies Act and relevant laws applicable to the industry

Ø Compliances under Various acts and Registers to be maintained

Ø Exposure in conducting Board/Audit Committee meetings

Ø Working knowledge in FEMA compliances

Ø Documentation related to financial closure

Ø Drafting of various agreements, petitions, affidavits…etc

Ø Knowledge of applicable laws in India

Ø Knowledge on SEBI Regulations

Ø Coordination with Auditors, RTA and other external agencies.
